Terms of Service

1. Description of Services

SRQ AI Studio provides technology and digital marketing services that may include, but are not limited to:

• Website design, development, hosting, and maintenance
• Website templates and customized websites
• Artificial intelligence tools and services
• AI-powered content creation
• AI-powered chat, voice, lead qualification, and communication tools
• Customer relationship management ("CRM") tools
• Lead capture and management
• Email marketing and automation
• Text messaging and communication services
• Appointment scheduling
• Sales and marketing automation
• Social media management and publishing
• Digital advertising tools
• Forms, surveys, funnels, landing pages, and websites
• Analytics and reporting
• Contact and database management
• Reputation management tools
• Business automation
• Third-party integrations
• Other software, technology, marketing, and business services that may be added or modified from time to time

SRQ AI Studio may add, remove, modify, replace, or discontinue features at any time. We will make reasonable efforts to maintain the general functionality of paid services, but specific features are not guaranteed to remain available indefinitely.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use our services.

If you are using our services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

Certain services require you to create an account.

You agree to:

• Provide accurate and current information
• Maintain the security of your login credentials
• Keep your account information current
• Not share your account credentials with unauthorized persons
• Notify us promptly of unauthorized access to your account
• Accept responsibility for activity occurring under your account

You are responsible for all activity conducted through your account unless the activity resulted from unauthorized access caused by our failure to maintain reasonable security.

4. Subscriptions and Fees

Certain services are provided on a recurring subscription basis.

Subscription prices, billing periods, included features, usage limits, and additional charges will be disclosed at the time of purchase or within your applicable service agreement.

By subscribing to a recurring service, you authorize SRQ AI Studio or its designated payment processor to charge your selected payment method on a recurring basis until the subscription is canceled.

Subscription fees are generally non-refundable except where required by law or expressly stated otherwise in writing.

If a payment fails, we may suspend or restrict access to paid services until the outstanding balance is paid.

We reserve the right to change pricing upon reasonable notice. Price changes generally apply to future billing periods and will not retroactively change charges already incurred.

5. Cancellation

You may cancel a subscription according to the cancellation process provided for your service.

Unless otherwise stated in a written agreement, cancellation stops future recurring charges but does not eliminate amounts already owed.

Upon cancellation, access to paid features may continue through the end of the applicable paid billing period unless otherwise stated.

SRQ AI Studio may suspend or terminate an account for nonpayment, violation of these Terms, misuse of the services, fraudulent activity, or other legitimate business or legal reasons.

6. Websites and Website Services

If SRQ AI Studio provides website design, hosting, maintenance, or related services, the applicable subscription or service agreement may specify the scope of services.

Unless specifically stated otherwise, website services may include hosting, technical infrastructure, templates, software, updates, maintenance, security features, integrations, and other technology necessary to operate the website.

Website content supplied by the customer remains the customer's responsibility.

SRQ AI Studio may use templates, software components, proprietary systems, artificial intelligence, third-party services, stock assets, plugins, integrations, and other technology in providing website services.

7. Domain Names

• A. Client-Owned Domains
• If you provide or connect a domain name that you already own, you retain ownership of that domain, subject to the terms and conditions of the applicable domain registrar.
• SRQ AI Studio may assist with domain configuration, DNS management, transfers, renewals, or other technical services.

• B. Domains Purchased by SRQ AI Studio for a Client
• In some website arrangements, SRQ AI Studio may purchase or register a domain name on behalf of a client.
• Unless otherwise agreed in writing, the domain purchased by SRQ AI Studio remains registered and controlled by SRQ AI Studio while the client is receiving website services from SRQ AI Studio.
• The purchase of a website subscription does not automatically transfer ownership or registration rights to a domain purchased by SRQ AI Studio.

• C. Client Leaves SRQ AI Studio
• If SRQ AI Studio purchased the domain for the client and the client subsequently chooses to move their website or services to another provider, the client will have thirty (30) calendar days from the date of cancellation or termination to purchase the domain from SRQ AI Studio for a transfer/purchase price of $500.
• Upon receipt of the $500 payment and completion of any required transfer documentation, SRQ AI Studio will reasonably cooperate in transferring the domain to the client or the client's designated registrar, subject to registrar rules and applicable domain-registration requirements.
• If the client does not purchase the domain within the 30-day period, SRQ AI Studio may retain, renew, sell, transfer, redirect, discontinue, or otherwise dispose of the domain at its discretion, subject to applicable law and registrar policies.
• The $500 domain purchase price applies regardless of the amount originally paid by SRQ AI Studio to register or acquire the domain, unless a separate written agreement states otherwise.

• D. Domain Availability
• SRQ AI Studio does not guarantee that a requested domain will be available, remain available, or be suitable for a particular business or purpose.
• The client is responsible for ensuring that its desired domain, business name, trademarks, and related intellectual property do not infringe the rights of others.

8. Website Ownership and Platform Technology

Unless otherwise stated in a written agreement, the client owns original content that the client supplies to SRQ AI Studio.

SRQ AI Studio retains ownership of its proprietary software, systems, platform technology, templates, frameworks, code libraries, automation systems, processes, designs, know-how, workflows, artificial intelligence systems, prompts, configurations, and other proprietary technology.

A website created using SRQ AI Studio technology may contain components that are licensed to the client rather than transferred to the client.

Payment for website services does not automatically transfer ownership of SRQ AI Studio's underlying software, platform, code, templates, systems, or proprietary technology.

9. Customer Content

You retain ownership of content, images, logos, trademarks, text, data, videos, audio, contact information, and other materials that you submit to or through our services ("Customer Content").

You grant SRQ AI Studio a limited license to host, reproduce, process, modify, transmit, display, and otherwise use Customer Content as reasonably necessary to provide, maintain, secure, improve, and support the services.

You represent and warrant that you have all rights, permissions, licenses, and consents necessary for SRQ AI Studio to process and use Customer Content as contemplated by these Terms.

10. AI-Generated Content

Our services may use artificial intelligence to generate text, images, audio, video, responses, recommendations, marketing content, website content, advertisements, summaries, or other materials.

AI-generated content may contain errors, inaccuracies, omissions, inappropriate content, or unintended results.

You are responsible for reviewing AI-generated content before publishing, distributing, relying upon, or using it for business purposes.

SRQ AI Studio does not guarantee that AI-generated content will be accurate, original, legally compliant, non-infringing, or suitable for any particular purpose.

You remain responsible for determining whether AI-generated content is appropriate for your business, industry, customers, advertising platform, and applicable laws.

11. Third-Party Services and Integrations

Our services may integrate with or depend upon third-party services, platforms, APIs, payment processors, hosting providers, communication providers, artificial intelligence providers, social media networks, advertising platforms, domain registrars, mapping services, email providers, and other third-party technologies.

Third-party services may have their own terms, privacy policies, fees, restrictions, availability requirements, and usage limitations.

SRQ AI Studio does not control third-party services and is not responsible for their availability, performance, policies, pricing, outages, changes, suspensions, or termination.

If a third-party provider changes or discontinues an integration, SRQ AI Studio may modify, replace, or discontinue the affected feature.

12. Email, Text Messaging, and Communication Services

If you use email, text messaging, calling, or other communication features, you are responsible for complying with all applicable laws, regulations, carrier requirements, platform policies, and consent requirements.

You agree not to use our services to send unsolicited, deceptive, fraudulent, abusive, harassing, or unlawful communications.

You are responsible for obtaining and maintaining any legally required consent from recipients.

You are also responsible for providing legally required disclosures, opt-out mechanisms, privacy notices, terms, and other compliance information.

SRQ AI Studio may suspend communication features if we receive complaints, abuse reports, carrier warnings, regulatory notices, or other indications that the services may be used unlawfully or in violation of third-party policies.

13. Social Media Services

If our services allow you to create, schedule, publish, or manage social media content, you authorize SRQ AI Studio and its applicable technology providers to perform those functions on your behalf.

Social media platforms may impose their own rules, limitations, approval processes, API restrictions, publishing limits, or other requirements.

SRQ AI Studio does not guarantee that content will be published successfully, remain published, receive engagement, generate leads, or produce any particular result.

14. Marketing and Business Results

SRQ AI Studio provides technology and marketing tools but does not guarantee specific business results.

We do not guarantee:

• A specific number of leads
• Sales
• Revenue
• Website traffic
• Search-engine rankings
• Advertising performance
• Social media engagement
• Conversion rates
• Appointments
• Customer acquisition
• Return on investment
• Specific business growth

Results depend on numerous factors outside our control, including the customer's market, pricing, competition, offer, sales process, advertising budget, content, customer behavior, economic conditions, and execution.

15. Prohibited Uses

You may not use our services to:

• Violate any law or regulation
• Commit fraud or facilitate fraudulent activity
• Impersonate another person or business
• Infringe intellectual property rights
• Distribute malware or malicious software
• Attempt to gain unauthorized access to systems
• Interfere with or disrupt our services
• Abuse APIs or system resources
• Send spam or unlawful communications
• Harass, threaten, or abuse others
• Store or distribute unlawful content
• Engage in deceptive marketing
• Circumvent usage limits or security controls
• Reverse engineer or attempt to extract source code from proprietary software
• Resell or redistribute our services without authorization
• Use our services to create competing products using our proprietary technology without permission
• Use automated systems to abuse or overload our infrastructure
• Use our services in a manner that could cause harm to SRQ AI Studio, our providers, or other customers

We reserve the right to investigate suspected violations and take appropriate action.

16. Intellectual Property

All SRQ AI Studio trademarks, logos, software, platform technology, designs, systems, workflows, templates, documentation, content, and other proprietary materials are owned by or licensed to SRQ AI Studio unless otherwise stated.

You may not copy, reproduce, distribute, modify, sell, license, reverse engineer, or create derivative works from our proprietary technology without our prior written permission.

17. Customer Responsibility for Data

You are responsible for the accuracy, legality, quality, and integrity of information entered into our services.

You are also responsible for maintaining appropriate backups of important Customer Content and data.

Although we may maintain backups as part of our infrastructure, backups are not a substitute for maintaining your own copies of critical business information.

18. Privacy and Data Processing

Your use of our services may involve the collection and processing of personal information.

Our handling of personal information is governed by our Privacy Policy, as amended from time to time.

You are responsible for providing appropriate privacy notices and obtaining required permissions from your customers, leads, employees, or other individuals whose information you submit to our services.

19. Security

We use commercially reasonable measures designed to protect our systems and customer information.

However, no internet-based system can be guaranteed to be completely secure.

You acknowledge that cybersecurity risks exist and agree to maintain appropriate security practices for your account, including protecting passwords and access credentials.

20. Service Availability

We strive to maintain reliable services but do not guarantee that services will always be available, uninterrupted, error-free, or free of delays.

Services may be temporarily unavailable due to:

• Maintenance
• Updates
• Security issues
• Third-party outages
• Internet disruptions
• Infrastructure failures
• API changes
• Natural disasters
• Cyberattacks
• Government actions
• Events beyond our reasonable control

21. Support

The level of support provided depends upon the applicable subscription or service agreement.

Support response times are targets and are not guaranteed unless expressly stated in a separate written service-level agreement.

22. Modifications to Services

SRQ AI Studio may modify, improve, replace, suspend, or discontinue any feature or service.

Where reasonably practical, we may provide notice of material changes to paid services.

Nothing in these Terms requires SRQ AI Studio to maintain any specific feature indefinitely.

23. Termination

Either party may terminate services according to the applicable subscription or service agreement.

SRQ AI Studio may immediately suspend or terminate access if:

• You materially violate these Terms
• You fail to pay amounts due
• Your use creates a security risk
• Your use exposes SRQ AI Studio or others to legal liability
• You engage in fraudulent or abusive activity
• You violate third-party platform requirements
• Your account is used for unlawful activity

Upon termination, your right to use the applicable services ends unless otherwise provided in writing.

24. Effect of Termination

Upon termination, you may lose access to services, software, hosted content, automation, integrations, databases, communication tools, websites, and other platform functionality.

Unless otherwise agreed in writing, SRQ AI Studio is not required to maintain your account or Customer Content indefinitely after termination.

You are responsible for requesting any data export or transfer that is available under your service before termination or within the applicable post-termination period.

Certain fees or obligations that accrued before termination remain payable after termination.

25. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SRQ AI STUDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, RELIABILITY, AND UNINTERRUPTED SERVICE.

WE DO NOT WARRANT THAT OUR SERVICES WILL MEET YOUR REQUIREMENTS, PRODUCE PARTICULAR RESULTS, OR OPERATE WITHOUT INTERRUPTION OR ERROR.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SRQ AI STUDIO AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SRQ AI STUDIO ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

• (A) THE AMOUNT YOU PAID TO SRQ AI STUDIO FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
• (B) ONE HUNDRED DOLLARS ($100).

Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.

27. Indemnification

You agree to defend, indemnify, and hold harmless SRQ AI Studio and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from:

• Your use of the services
• Your Customer Content
• Your violation of these Terms
• Your violation of applicable laws or regulations
• Your violation of third-party rights
• Your marketing, advertising, communications, or business practices
• Your use of AI-generated content
• Your use of third-party integrations

28. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes through informal communication.

If a dispute cannot be resolved informally, the dispute will be handled in accordance with applicable law and the venue provisions specified below.

29. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Unless otherwise required by applicable law, any legal action arising from these Terms or the services shall be brought in a state or federal court located in or serving Sarasota County, Florida.

30. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we may provide notice through the services, email, or by posting an updated version on our website.

Your continued use of the services after the effective date of revised Terms constitutes acceptance of the updated Terms.

31. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect.

32. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

33. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

SRQ AI Studio may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, corporate restructuring, or similar transaction.

34. Entire Agreement

These Terms, together with any applicable order form, subscription agreement, service agreement, Privacy Policy, and other written agreements between you and SRQ AI Studio, constitute the agreement between the parties concerning the applicable services.

If there is a conflict between these Terms and a separately signed written agreement, the separately signed agreement will control for the specific services covered by that agreement.

35. Electronic Acceptance

You agree that clicking an acceptance button, checking an acceptance box, creating an account, purchasing a subscription, signing electronically, or using the services constitutes your electronic acceptance of these Terms and has the same legal effect as a handwritten signature, to the extent permitted by law.

37. Acknowledgment

BY USING SRQ AI STUDIO SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THESE TERMS OF SERVICE.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
